Single Member Company vs Private Limited: Which Is Right for You?

Business owners discussing company registration options

If you are ready to move beyond a sole proprietorship, the two most popular options in Pakistan are a Single Member Company (SMC-Private Limited) and a Private Limited company. Both are registered with SECP under the Companies Act 2017 and both give you limited liability. The main difference is how many owners you have.

What is a Single Member Company?

An SMC has one shareholder who is usually also the sole director. A nominee and an alternate nominee must be named, who will take over the company in case of the member's death or incapacity. It is ideal for solo founders, consultants and small businesses that want the protection and credibility of a company.

What is a Private Limited company?

A Private Limited company has at least two members and two directors. It suits partners, family businesses and startups that plan to bring in investors, because shares can be issued and transferred under the articles of association.

Key differences

  • Owners: SMC has one member; Private Limited needs at least two.
  • Decision making: SMC decisions are taken by one person; Private Limited follows board and shareholder resolutions.
  • Investment: Private Limited is easier for raising capital from partners and investors.
  • Conversion: An SMC can be converted into a Private Limited company when new shareholders join.
  • Compliance: Both must file annual returns and maintain statutory records with SECP and file tax returns with FBR.

Which one should you choose?

Choose an SMC if you are building the business on your own and want to keep control. Choose a Private Limited company if you have co-founders, plan to raise investment soon or want to share ownership with family members.

How long does registration take?

Once the name is approved and all documents are ready, incorporation on SECP's eServices portal usually takes a few working days. After incorporation, the company also needs its own NTN with FBR.
